Terms governing your use of Contract Review AI

1. Acceptance of Terms

By accessing or using Contract Review AI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These Terms are governed by the laws of England and Wales. Users in Scotland and Northern Ireland retain the benefit of mandatory consumer protections under their local laws.

2. Description of Service

Contract Review AI provides AI-powered contract analysis and risk assessment tools. The Service is offered on a subscription basis with different plan levels (Occasional, Professional, Enterprise) as described on our pricing page.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information when registering. You must be at least 18 years old to use the Service.

4. Subscriptions and Billing

  • Paid subscriptions are billed monthly or annually as selected at signup
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
  • All prices are in GBP () and inclusive of applicable VAT
  • We reserve the right to change pricing with 30 days notice

4A. Refund Policy

  • All subscription payments are non-refundable once the billing cycle has begun. This applies to both monthly and annual plans.
  • If you cancel your subscription, your access continues until the end of the paid billing period. We do not provide partial or pro-rata refunds for unused time.
  • If the Service fails due to a technical error on our side and we cannot resolve the issue promptly, please contact us at support contact email within 14 days of the charge and we will assess a refund on a case-by-case basis.
  • If you are a consumer in the UK, you have the right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By subscribing and using the Service, you expressly agree that the Service is supplied immediately and acknowledge that you lose this right to cancel once we begin providing it.
  • Nothing in this policy affects your statutory rights under applicable law.

4B. Right to Cancel (UK Consumers)

If you are a consumer (an individual acting wholly or mainly outside your trade, business, craft or profession) and you are based in the UK, you have 14 calendar days from the day after the contract is made to cancel your subscription under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

When the right to cancel is lost. If you expressly agree at checkout that the service should start immediately and acknowledge that you lose the right to cancel, that right is lost once we begin supplying the service.

How to cancel. Email support contact email before the end of the 14-day period. You do not need to give a reason.

Refunds on cancellation. If you cancel within the 14-day period and the right to cancel has not been lost, we will refund all payments received within 14 days of your cancellation, less a proportionate amount for any service already supplied up to the date you cancelled. Where you cancelled without having given your consent and acknowledgment to immediate supply, you will not be charged for any digital content supplied during the cancellation period and will receive a full refund.

These rights apply only to consumers. Business customers do not benefit from statutory cancellation rights, and the non-refundable policy in section 4A applies to them in full.

5. Acceptable Use

You agree not to:

  • Upload contracts that you do not have the legal right to analyse
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to circumvent access restrictions, rate limits, or security measures
  • Reverse engineer, decompile, or extract the source code of the Service
  • Use automated scripts or bots to interact with the Service without authorization

6. Intellectual Property

The Service, including its AI models, analysis algorithms, and user interface, is the intellectual property of Contract Review AI. You retain all rights to the contracts you upload. We do not claim ownership of your contract content.

7. Limitation of Liability

Contract Review AI provides analysis and risk assessment as a tool to assist in contract review. The analysis provided does not constitute legal advice. We strongly recommend consulting a qualified solicitor for high-stakes contracts. To the maximum extent permitted by applicable law, Contract Review AI shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

8. Contract Templates

The contract templates made available through the Service are provided as draft documents and starting points only. They are not intended to be, and should not be construed as, final legally binding contracts or legal advice.

No solicitor-client relationship: Use of the templates does not create a solicitor-client, attorney-client, or any other professional relationship between you and Contract Review AI.

No warranty: The templates are provided "as is" without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or legal adequacy for your specific circumstances. Laws vary by jurisdiction and change over time. A template that is suitable in one jurisdiction may be invalid or unenforceable in another.

Independent legal advice: You are strongly advised to have any template reviewed by a qualified legal professional practising in the relevant jurisdiction before using, signing, or relying upon it. Neither Contract Review AI nor its operators, employees, or affiliates accept any liability for any loss, damage, or claim arising from the use of any template.

No guarantee of enforceability: Contract Review AI makes no representation or guarantee that any template will be legally valid, enforceable, or appropriate for any particular transaction, jurisdiction, or purpose.

9. Data Retention and Deletion

Account Closure: If you choose to close your account via the "Close Account" button in your account settings, your account and all associated data — including contracts, analyses, signatures, and uploaded files — will be permanently deleted immediately. Any active subscription will be cancelled and no further charges will be made. This action is irreversible.

10. Termination

Termination by us: We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, your right to use the Service ceases immediately.

Termination by you (Account Closure): You may close your account at any time through the account settings page. When you close your account, your active subscription is cancelled, all future charges stop, and your account and associated data are permanently deleted immediately.

Sections 6, 7, 11, and 12 survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Users in Scotland and Northern Ireland may also bring claims in their local courts where applicable law permits.

13. AI Contract Creation Service

13.1 The AI Contract Creation feature allows users to generate draft legal documents using artificial intelligence. These documents are generated based on user-provided information and pre-defined templates.

13.2 No Legal Advice. Documents generated through the AI Contract Creation service are draft templates for informational purposes only. They do not constitute legal advice, legal opinion, or a solicitation of legal services. No attorney-client relationship is created by using this service.

13.3 User Responsibility. You are solely responsible for reviewing, modifying, and ensuring that any document generated through our service is appropriate for your specific circumstances. We strongly recommend that all generated documents be reviewed by a qualified legal professional before being used or signed.

13.4 No Warranty. We make no warranties, express or implied, regarding the legal sufficiency, accuracy, or enforceability of any document generated through the AI Contract Creation service. The documents are provided "as is" without any guarantee of fitness for a particular purpose.

13.5 Jurisdiction. The generated documents may not comply with the laws of your specific jurisdiction. It is your responsibility to ensure compliance with applicable local, state, and federal laws.
